Executed Subcontractor Agreement

All subcontractors must carry general liability insurance as well as Workers’ compensation insurance with the minimum limits that Segal Concrete and Construction requires (Example Attached). Certificates of Liability and Workers’ Compensation Insurance must be provided to Segal Concrete and Construction before you can start work. Segal Concrete and Construction must be listed as the certificate holder and additionally insured on your general liability policy, and as a certificate holder on your Workers’ Compensation Insurance policy. Independent contractors or subcontractors agree in writing, to defend, indemnify, and hold harmless Segal Concrete and Construction and its affiliates, subsidiaries, directors, officers, employees, agents, and their representatives from and against all claims, damages, losses, and expenses attributable to, resulting from or arising out of the independent contractor’s or subcontractor’s operations performed for Segal Concrete and Construction caused in whole or in part by any act or omission of the independent contractor or subcontractor or anyone directly or indirectly employed by any of them whose act(s) may be liable, regardless of whether or not it is caused in part Segal Concrete and Construction.

Subcontractor Rules and Conditions

To be a subcontractor of Segal Concrete and Construction (SC&C) these Rules and Guidelines must be adhered to at all times. In this document “SC&C” refers to Segal Concrete and Construction, “Subcontractor” refers to your company, “Owner” refers to the Property/Project Owner, and “OSHA” refers to the Occupational Safety and Health Administration.

General Rules:

  1. All subcontractors shall provide completed W-9 forms, Certificates of Insurance and any other forms as required by SC&C prior to receiving any projects and/or payments. These documents shall be updated annually with SC&C prior to expiration.
  2. Subcontractors shall, at their own expense and at all times during the performance of services shall maintain General Liability Insurance, Workers’ Compensation Insurance, and Automotive Liability Insurance as listed on the SC&C Minimum Insurance Form. These documents shall be updated annually with SC&C prior to expiration.
  3. All subcontractors must employ an adequate workforce to ensure that all work contracted for is started, performed, and completed on or ahead of schedule.
  4. Problems of any kind that could result in a slow-down of job progress shall be reported to SC&C Immediately.
  5. Subcontractor shall comply with all applicable laws as required by the State of Colorado and OSHA.
  6. Subcontractor shall provide Warranty documents for all projects performed for SC&C as designated by SC&C.
  7. Subcontractor shall furnish all tools, machinery, and labor to fully complete the work contracted to perform.
  8. Subcontractor shall submit any invoices to SC&C per the agreed Payment Schedule.
  9. Subcontractors shall not share any project information including pricing and/or scope of work with anyone for any reason unless approved by SC&C. If asked, you are required to have them contact SC&C for any information.
  10. Subcontractors shall not solicit jobs from an SC&C client/property or while on an SC&C project except for SC&C.
  11. Segal Concrete and Construction pays by net 30 upon receipt payment unless otherwise approved or discussed.

Job Site Rules:

In keeping with SC&C’s intention to provide a safe working environment for all its employees, agents, subcontractors, and material and equipment suppliers, SC&C enforces the following set of rules and conditions, concerning safety, health, cleanliness, security, and organization.

  1. Subcontractor supervision:
    • All subcontractors must designate a job Superintendent for the purpose of negotiations and meetings.
    • There must be a qualified Foreman, designated to the job site and onsite at all times while work is being performed.
    • All negotiations, troubleshooting, and communications must be between SC&C and the designated job Superintendent or Foreman only and not with the subcontractor Employees.
    • Subcontractor’s job Superintendent and/or Foreman will engage in any and all project walkthroughs and required by SC&C to include pre-construction walks, partial completion walks, final walks, the owner walks, unit walks, etc.
  2. Subcontractor shall contact the SC&C designated Project Manager daily with a progress report about the project letting him/her know what was completed that day, any problems discovered or issues that might delay the project and the estimated time of completion. This can be done by phone, or e-mail. Smoking is not permitted in any building, enclosed space, or within 100 feet of any work area on all SC&C job sites. Cigarette butts must be disposed of in a proper can or tray and not left anywhere near the worksite.
  3. There shall be no loud radios. If contractors wish to listen to the radio, please use discretion and have it only as loud as can be heard in your immediate work area. Please respect the rights of all Non SC&C project personnel and residents.
  4. All persons shall always be treated with respect. There shall be no whistling, catcalling, or any demeaning act at any time.
  5. All job site debris and materials shall be picked up and/or disposed of daily. Any dumpsters or trash cans that are not directly related to the designated SC&C project shall not be used at any time unless authorized directly by the SC&C Project Manager.
  6. All phone calls by the subcontractor and its personnel shall be kept to a minimum as to not distract from safety awareness and/or job performance.
  7. Subcontractor personnel work schedules including start and finish times will be provided by SC&C on each project and shall be adhered to at all times unless approved by SC&C.
  8. All staging and storage of materials and tools are to take place in assigned areas only as provided by SC&C.
  9. Subcontractors and their personnel are not allowed to bring his/her friends or family members to any SC&C job sited without authorization.

Safety Rules:

  1. Any chemical that impairs your ability to operate in a safe function is strictly prohibited on all SC&C job sites. Anyone found to possess, sell or use alcohol/drugs or any other controlled substance at any SC&C job site will be subject to immediate removal from the job site and the subcontractor could be terminated. It is the responsibility of the subcontractor to enforce this policy while on the SC&C job site and report the same to SC&C.
  2. Subcontractor and its personnel shall dress in an appropriate manner as required by OSHA, SC&C and project Owner.
  3. Subcontractor shall observe and follow all OSHA rules and guidelines. It is the responsibility of the subcontractor to be knowledgeable of all current OSHA rules and guidelines. It is also the responsibility of the subcontractor to enforce this policy with its personnel while on any SC&C job and could be terminated from the project for violating OSHA rules and guidelines.
  4. Subcontractor will wear the proper personal protective equipment (PPE) at all times when on any SC&C job site.
  5. The subcontractor shall ensure that applicable personnel have received the necessary training on hazards relevant to the contracted project including but not limited to: OSHA rules, EPA’s Lead Renovation, Repair, and Painting rules, fall protection, confined space entry, fire extinguisher usage, emergency actions plans, ladder safety and proper usage, electrical safety, heat illness prevention and first aid.
  6. The subcontractor shall hold weekly job site safety meetings and provide documentation to the designated SC&C Project Manager or office staff.

Specific Projects may have additional rules for forms specific to that project. If so, it will be a requirement of the subcontractor to read and sign those documents.
